IMPORTANT-READ CAREFULLY

THIS DAC Desktop END-USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER ON BEHALF OF YOURSELF AS AN INDIVIDUAL OR ON BEHALF OF AN ENTITY AS ITS AUTHORIZED REPRESENTATIVE) AND DAC SOFTWARE FOR THE DAC SOFTWARE PRODUCT IDENTIFIED ABOVE, WHICH PRODUCT INCLUDES COMPUTER SOFTWARE AND MAY INCLUDE ASSOCIATED MEDIA, PRINTED MATERIALS, AND "ONLINE" OR ELECTRONIC DOCUMENTATION ("SOFTWARE PRODUCT"). BY CLICKING ON THE "I ACCEPT" BUTTON BELOW, INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THE EULA, CLICK ON THE "I DO NOT ACCEPT" BUTTON AND/OR DO NOT INSTALL, COPY OR OTHERWISE USE THE SOFTWARE PRODUCT. THIS EULA FOR DAC SUPERSEDES PREVIOUS VERSIONS.
SOFTWARE PRODUCT LICENSE

1. GRANT OF LICENSE: This is not free software. This Software product is licensed, not sold. This EULA grants you a non-exclusive, non-transferable license to:

Install the DAC Software Product, use the Software Product for your internal use, and copy the Software Product for back-up or archival purposes:
(A) perpetually, if you elect to purchase or have already purchased a license, and you may use the Software Product on the number of computers for which you have paid license fees.

(B) for an evaluation period of 30 days (the "Evaluation Period") from the date you first install the Software Product on a royalty-free basis. In the event that you purchase a license to the Software Product prior to the expiration of the Evaluation Period, your license will continue perpetually. If you do not purchase a license to the Software Product prior to the expiration of the Evaluation Period, you shall uninstall all copied portions of the Software Product.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS:

(A) Maintenance of Copyright Notices: You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.
(B) Distribution: You may not distribute registered copies of the SOFTWARE PRODUCT to third parties. Evaluation versions available for download from DAC Software's websites may be freely distributed.
(C) Prohibition on Reverse Engineering, Decompilation, and Disassembly:
You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT.
(D) Rental: You may not rent, lease, or lend the SOFTWARE PRODUCT.
(E) Support Services: DAC Software may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA.
(F) Compliance with Applicable Laws: You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT

3. TITLE:

You agree that no title to the intellectual property in the Software Product is transferred to you. Title, ownership, rights, and intellectual property rights in and to the Software Product shall remain in DAC Software. The Software Product is protected by copyright and patent laws of the United States and international treaties.

4. UPDATES:

From time to time DAC Software may make updates to the Software Product generally available. Updates may be released for all installations for registered installations only.
In the event that you purchase a license or if you have already purchased a license, you may download and install these software updates released by DAC Software within one year of date of purchase and for any extended term granted you by DAC Software. Some updates may be done automatically to all licenses upon application startup. All updates to the Software Product shall be governed by this Agreement, unless other license terms are provided with the update.

5. TECHNICAL SUPPORT:

In the event that you purchase a license, technical support for the Software Product, as made available by DAC Software, will be described online at http://www.dacdesktop.com. Technical support via email is made available to registered, licensed users for up to one year from the date of purchase, and for any extended term granted to you by DAC Software.

6. PRIVACY:

DAC Software may collect user data from time to time in order to improve the SOFTWARE PRODUCT and USER EXPERIENCE. All information gathered will be kept private and used for those purposes only as described in this section.
7. DISCLAIMER OF WARRANTY:

YOU AGREE THAT DAC SOFTWARE HAS MADE NO EXPRESS WARRANTIES, ORAL OR WRITTEN, TO YOU REGARDING THE SOFTWARE PRODUCT AND THAT THE SOFTWARE PRODUCT IS BEING PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND. DAC SOFTWARE DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED, OR STATUTORY, INCLUDING, BUT WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. DAC SOFTWARE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, COVER, RELIANCE, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF ANTICIPATED PROFIT) ARISING FROM ANY CAUSE UNDER OR RELATED TO THIS AGREEMENT.

8. LIMITATION OF LIABILITY:

YOU ASSUME THE ENTIRE RISK OF USING THE PROGRAM. IN NO EVENT SHALL DAC SOFTWARE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF THE USE OF THE DAC SOFTWARE SOFTWARE, EVEN IF DAC SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL DAC SOFTWARES' LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE PAID BY YOU, PROVIDED, HOWEVER, IF THE RELEVANT SOFTWARE WAS PROVIDED TO YOU AT NO CHARGE YOU AGREE DAC SOFTWARE SHALL NOT BE LIABLE TO YOU FOR ANY DAMAGES. THIS LIMITATION SHALL ALSO APPLY TO CLAIMS OF PERSONAL INJURY TO THE EXTENT PERMITTED BY LAW.

9. TERMINATION:

This Agreement shall terminate automatically if you fail to comply with the limitations described in this Agreement. This Agreement shall terminate if you do not purchase a license to the Software Product prior to the expiration of the Evaluation Period. No notice shall be required from DAC Software to effect such termination. You may also terminate this Agreement at any time by notifying DAC Software in writing of termination. Upon any termination of this Agreement, you must uninstall all copies of the Software Product.

10. SEVERABILITY:

In the event of invalidity of any provision of this Agreement, the parties agree that such invalidity shall not affect the validity of the remaining portions of this Agreement.

11. EXPORT:

You agree that you will not export or re-export the Software Product outside of the jurisdiction in which you obtained it without the appropriate United States or foreign government licenses.

12. GOVERNING LAW:

This Agreement will be governed by the laws of the State of Florida as they are applied to agreements between Florida residents entered into and to be performed entirely within Florida. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed.

13. ENTIRE AGREEMENT:

You agree that this is the entire agreement between you and DAC Software, and that it supersedes any prior agreement, whether written or oral, and all other communications between DAC Software and you relating to the subject matter of this Agreement.

14. RESERVATION OF RIGHTS:

All rights not expressly granted in this Agreement are reserved by DAC Software.
